Welcome to MindScript ("we," "our," "us"). These Terms of Service ("Terms") govern your access to and use of the MindScript platform, including our website, mobile application, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, making a purchase, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

MindScript is a platform that enables users to create personalized audio content, including affirmations, meditations, and motivational tracks. The Service includes:

• A web-based track builder for creating audio content with AI-powered text-to-speech
• Optional enhancements including background music, solfeggio frequencies, and binaural beats
• Voice cloning capabilities for personalized audio experiences
• A personal audio library for managing and playing your tracks
• A mobile application for listening on the go

3. Accounts & Registration

• You must be at least 13 years old to use the Service
• You must be at least 18 years old to use creator features, voice cloning, or make purchases
• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activity that occurs under your account
• One account per person; sharing accounts is not permitted
• You must notify us immediately of any unauthorized use of your account

4. AI-Generated Content Disclaimer

MindScript uses third-party artificial intelligence services to generate audio content:

• Text-to-speech: Voice audio is generated using AI voice synthesis providers. The quality and characteristics of generated speech may vary
• Script assistance: Optional AI-assisted script generation uses large language models. Generated scripts are suggestions and should be reviewed before use
• No guarantees: We do not guarantee the accuracy, completeness, or suitability of any AI-generated content. Output may contain errors, inconsistencies, or unintended content
• Third-party terms: Your use of AI-generated content is also subject to the terms of the underlying AI service providers

6. Content Creation & Ownership

• You retain ownership of the original scripts and text you create or provide
• By using the Service to create audio content, you grant MindScript a non-exclusive, worldwide license to render, host, store, and distribute your content through the platform
• Audio rendering uses third-party voice synthesis; the resulting audio is subject to the terms of the underlying voice providers
• You are responsible for ensuring your content does not infringe on others' rights
• MindScript may use aggregated, anonymized usage data to improve the Service

7. Voice Cloning

MindScript offers voice cloning capabilities subject to the following requirements:

• You must be at least 18 years old to use voice cloning
• You may only clone your own voice or a voice for which you have explicit, documented consent from the voice owner
• You must complete our voice cloning consent process, which requires affirming that you have the legal right to clone the voice
• Impersonation of another person without their consent is strictly prohibited
• Cloned voices may only be used for personal, non-commercial purposes through the MindScript platform unless otherwise agreed
• We reserve the right to remove any cloned voice that violates these Terms or applicable law
• Voice cloning is powered by third-party AI services; quality and accuracy may vary

8. Copyright & DMCA

MindScript respects intellectual property rights and expects users to do the same.

Takedown Requests

If you believe content on MindScript infringes your copyright, please send a DMCA takedown notice to our designated agent at zen@mindscript.studio including:

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location on the Service
• Your contact information (name, address, phone number, email)
• A statement that you have a good-faith belief the use is not authorized
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner
• Your physical or electronic signature

Counter-Notification

If your content was removed and you believe it was done in error, you may submit a counter-notification to zen@mindscript.studio with the required information under the DMCA.

Repeat Infringer Policy

We will terminate the accounts of users who are determined to be repeat infringers in appropriate circumstances.

9. Acceptable Use & Content Moderation

You agree not to use the Service to:

• Create, distribute, or promote content that is harmful, hateful, discriminatory, threatening, or harassing
• Make unsubstantiated medical, health, or therapeutic claims
• Impersonate any person or entity, or misrepresent your affiliation
• Create content that exploits or harms minors in any way
• Distribute spam, malware, or engage in phishing
• Attempt to circumvent security measures, access restrictions, or rate limits
• Use automated tools to scrape, download, or reproduce content in bulk
• Reverse engineer, decompile, or disassemble the Service or its audio processing
• Use the Service for any illegal purpose or in violation of applicable law

We reserve the right to review, remove, or restrict any content that violates these Terms or that we determine, in our sole discretion, to be inappropriate or harmful.

10. Abuse, Suspension & Termination

We may suspend or terminate your account, with or without notice, if we determine that:

• You have violated these Terms or any applicable law
• Your account is associated with fraudulent activity
• Your content has received repeated valid complaints or violations
• Your use of the Service poses a risk to other users or the platform

You may request account deletion at any time. Account deletion follows a 30-day grace period during which you can cancel by logging back in.

If you believe your account was suspended or terminated in error, you may appeal by contacting us at zen@mindscript.studio.

11. Payments & Refunds

• All payments are processed securely through Stripe. We do not store your payment card information
• Prices are displayed in USD and include all applicable fees at checkout
• All sales of delivered digital content are final. Due to the nature of digital goods, we generally do not offer refunds for successfully delivered tracks
• If a technical failure prevents delivery of your track, we will either re-render the track or issue a refund at our discretion
• Refund requests may be submitted to zen@mindscript.studio and will be reviewed on a case-by-case basis
• Promotional pricing (including first-track discounts) is limited to one use per account

12. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDSCRIPT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR ANY DISRUPTIONS, DOWNTIME, OR ERRORS CAUSED BY THIRD-PARTY SERVICES (INCLUDING AI PROVIDERS, PAYMENT PROCESSORS, AND HOSTING SERVICES).

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in our Privacy Policy.

14. General Provisions

• Governing Law: These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect
• Entire Agreement: These Terms, together with the Privacy Policy and any role-specific terms, constitute the entire agreement between you and MindScript
• Changes to Terms: We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision
